WallPost Terms of Service

Please read these Terms of Service carefully before using the WallPost Software Application (the "Application", OR “Service”) operated by Smart Management IT Solutions LLC ("us", "we", or "our").

Your access to and use of the Application is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Application. By accessing or using the Application you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Application.


  1. You have 30-day Free Trial to acquire our Services.  Continuation of our Service will be thru your paid online subscription via credit card payments.
  2. If you terminate a subscription in the middle of a billing cycle, you will not receive a refund for any period of time you did not use in that billing cycle, unless you are terminating the Agreement for our breach and have so notified us in writing, or unless a refund is required by law.
  3. Subscription fees are based on the number of users and your selected modules and features.  If your number of users exceeds the package that you have originally subscribed, we will charge you a fee of $5 per user per month.  You will also have the option to change your package at any time, please visit our website www.wallpostsoftware.com to see our detailed pricing.


  1. We use Amazon AWS infrastructure to store your data in the cloud.  Amazon provides high security and world class global infrastructure.  You may refer to their website https://aws.amazon.com/ for more information.
  2. All the information that you stored (i.e., your business financials, clients, etc.) are encrypted and can only be viewed thru your users log in IDs and passwords.

  1. We may suspend or stop providing our Application to you if you fail to comply with these Terms (such as failure to pay fees when due), or if you use our Application in a way that causes legal liability to us or disrupts others’ use of our Application.
  2. We may suspend our service to you if we are investigating suspected misconduct by you.  If we suspend or terminate the Services you receive, we will endeavor to give you advance notice and an opportunity to export a copy of your content from our Service.
  3. If we stop the Service to you because you repeatedly breach these Terms, we may take measures to prevent the further use of our Service including blocking your IP address.

We do not warrant that our Application will not be affected by any acts of God or other force majeure events, including inability to obtain or shortage of necessary power or telecommunications, lack of telecommunications equipment or facilities and failure of information technology or telecommunications equipment or facilities.


  1. Our Service may contain links to third-­party websites or services that are not owned or controlled by Smart Management IT Solutions LLC.  We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third party websites or services.
  2. You further acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third­ party websites or services that you visit.


  1. All content, information, illustrations, artwork and other graphic materials, and names, logos and trademarks in our Application are protected by copyright laws and/or other laws and/or international treaties, and belong to us and/or our suppliers, as the case may be. These works, logos, graphics, sounds or images may not be copied, reproduced, retransmitted, distributed, disseminated, sold, published, broadcasted or circulated whether in whole or in part, unless expressly permitted by us and/or our suppliers, as the case may be.
  2. Nothing contained in our Application should be construed as granting by implication, or otherwise, any license or right to use any trademark displayed in our Application without our written permission. Misuse of any trademarks or any other content displayed in our Application is prohibited.
  3. We will not hesitate to take legal action against any unauthorized usage of our trademarks, name or symbols to preserve and protect its rights in the matter. All rights not expressly granted herein are reserved. Other product and company names mentioned herein may also be the trademarks of their respective owners.


  1. We may periodically make changes to the contents of our Application, including to the descriptions and prices of subscription advertised, at any time and without notice..
  2. We reserve the right to amend these Terms of Use from time to time without notice. The revised Terms will be posted on our Application and shall take effect from the date of such posting.  You are advised to review these terms and conditions periodically as they are binding upon you.

  1. WallPost Software Application can be accessed from all countries around the world where the local technology permits. As each of these places have differing laws, by accessing our Application, both you and we, agree that these Terms shall be governed and construed in accordance with the laws of United States of America (USA) without regard to its conflict of law provisions.
  2. You accept and agree that both you and we shall submit to the exclusive jurisdiction of the courts of the United States of America in respect of any dispute arising out of and/or in connection with these Terms and Conditions of Use.
  3. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Application, and supersede and replace any prior agreements we might have between us regarding the Application
